1. Who these terms apply to
These terms apply when Motive Web Studio supplies website design, development, hosting, domain management or related services to a client acting for business purposes. The written project scope, these terms and any later written change agreed by both parties form the contract. The written scope takes priority if the documents conflict.
2. Free preview and starting the paid project
Before payment, Motive Web Studio may create an unpublished test preview of the client’s proposed website. The preview is supplied without charge or obligation so the client can decide whether to continue. It is separate from the paid project, is not a live production website and remains Motive Web Studio’s property. The client may not publish, copy or use the preview or its design before payment without written permission.
The paid project starts after the client approves the preview and written scope, confirms the agreed domain spelling and Motive Web Studio receives the website payment. The scope will identify the pages, features, revision rounds, expected timing and price. Website examples, estimates and conversations do not add work to the scope unless Motive Web Studio confirms that work in writing.
3. Project fees and refunds
The client pays the website price shown in the agreed scope. Motive Web Studio may pause work while an invoice remains overdue.
If the client cancels before work starts, Motive Web Studio will refund the project payment after deducting third-party costs already committed with the client’s approval. If the client cancels after work starts, any refund will reflect the work completed and committed third-party costs. Motive Web Studio will refund work it cannot provide.
4. The £3 monthly Care plan
Each website includes a Care subscription at £3 per month. Billing starts 30 days after the website payment and renews each month until cancellation. Care covers hosting, SSL, routine technical maintenance and the registration or renewal of one standard-priced domain named in the project scope.
Care does not include redesigns, new pages, new features, paid third-party services, premium or aftermarket domains, or a domain with an exceptional registration or renewal price. Motive Web Studio will explain and agree any extra cost before purchase. Motive Web Studio may change the Care price by giving at least 30 days’ written notice.
5. Domain registration and management
After the website payment is confirmed, Motive Web Studio will buy and manage the agreed domain through its registrar account, complete the included launch work and connect the finished website. Where the registrar permits, Motive Web Studio will record the client or the client’s business as the registrant and use accurate details supplied by the client. Motive Web Studio will act as the technical manager and pay standard renewal charges while Care remains active.
Domain availability cannot be guaranteed until registration succeeds. The client must approve the spelling and extension before payment and purchase. Registration and renewal periods bought from a registrar cannot be refunded after purchase.
6. Hosting and availability
Motive Web Studio will use a suitable hosting provider and take reasonable care to keep the website available and secure. Internet services can experience maintenance, provider outages and events outside Motive Web Studio’s control, so uninterrupted availability is not guaranteed. Care covers restoring the agreed website after a hosting fault where a usable backup exists; it does not cover damage caused by the client or an unauthorised third party with access supplied by the client.
7. Client responsibilities
The client must supply accurate business details, content, feedback and approvals within the agreed timeframe. The client confirms that it owns or has permission to use all text, images, logos, trademarks and other materials it supplies. The client remains responsible for the accuracy and legality of its claims, services, prices, policies and business activity.
8. Revisions, changes and timing
The project scope states the included revision rounds. A request that changes the agreed structure, content volume or functionality may require a new quote. Delivery dates depend on the client supplying content and feedback on time. Motive Web Studio may move the delivery date when client delays affect the schedule.
9. Ownership and use of the work
The client keeps ownership of material it supplies. After full payment, the client receives a permanent licence to use the finished website and its bespoke visual design for its business. Motive Web Studio keeps ownership of reusable code, tools, templates, methods and components, including improvements made while completing the project. Third-party software remains subject to its own licence.
Motive Web Studio may show the finished website in its portfolio unless the client asks in writing before launch for the work to remain private.
10. Cancelling Care and transferring the domain
The client may cancel Care at any time through the Stripe customer portal or by emailing Motive Web Studio. Care continues until the end of the paid billing period. Hosting may stop after that date, and Motive Web Studio will not renew the domain after cancellation.
A client whose account is fully paid may request transfer of the domain to its own registrar account. The client must supply the receiving account details and pay any registrar transfer charge. Motive Web Studio will begin a valid transfer request within 10 working days. The client should request transfer before the domain expires.
11. Failed payments
Motive Web Studio will notify the client after a failed Care payment and allow a reasonable opportunity to update the payment method. Motive Web Studio may suspend the website after 14 days of non-payment and end Care after 30 days. Motive Web Studio will not allow a domain to expire without first sending a reminder to the client’s latest email address, where time permits.
12. Liability
Neither party will be responsible for indirect loss, lost profit or lost opportunity that the other party could not reasonably foresee when the contract began. Motive Web Studio’s total liability relating to a project will not exceed the fees the client paid for that project and its Care subscription during the previous 12 months.
Nothing in these terms limits liability for fraud, death or personal injury caused by negligence, or any liability that the law does not allow a party to limit.
13. Ending a project for serious breach
Either party may end the contract if the other commits a serious breach and does not correct it within 14 days after receiving written notice. Motive Web Studio may end the contract at once if the website supports unlawful activity, infringes another person’s rights or creates a material security risk. The client remains responsible for fees and costs incurred before the end date.
14. Complaints and disputes
The client should email any complaint to motivewebstudio@gmail.com. Both parties will first try to resolve the issue through a written discussion. The laws of England and Wales govern the contract, and the courts of England and Wales will handle any dispute that the parties cannot resolve.
15. Changes and contact
Motive Web Studio may update these terms for future projects. A change will not alter an existing project or subscription unless both parties agree in writing or the law requires the change. Questions can be sent to motivewebstudio@gmail.com.
